Will departure of Warren Tucker from SIS be announced in before 2012?

Contract pays $1 for announcement of departure. Contract is tied to timing of announcement not date of departure.

For the avoidance of doubt, admin's post above should probably read "before 2012".

In the contract's long definition, should:

- "and it is announced in 2012 that Dr Tucker will not be the first person to hold that position"

actually be:

- "and it is announced before 2012 that Dr Tucker will not be the first person to hold that position"?

I still don't understand why the use of the potentially confusing terminology.

This isn't a new discussion, but surely better to say:

XXX will happen in 2011

rather than:

XXX will happen before 2012

Make the exact closing time be 23:59hrs on 31 Dec 2011.

Before XXXX is a catch all that works for year ended whether it is this year or the next, or this month or the next, and that's helpful for standardisation, which makes a contract easier to draft and, I hope, easier to follow. 'Before October 2011' is more parsimonious than 'by 11:59pm 30 September 2011' and actually less confusing, because you know someone is going to want to know if 11:59 is included or not.

What is confusing about 'before 2012'? What can that be confused with? I don't understand the objection. Surely if most contracts use the term it is not difficult to get to grips with.

I think "Before 1st Jan 2012" is better than "Before 31st December 2011 11:59:59pm".

In a separate but related issue, try and avoid the use of "by" wherever possible because it's not clear if the day you state is inclusive or exclusive - "XYZ to happen by October 1" - would such a contract be finalised on 1st October, or the 2nd?

Yes, agreed. It occasionally slips through does 'by' and it's ugly.
